    Prestige Brands Holdings, Inc. Announces Pricing of $350 Million Senior Notes

    TARRYTOWN, N.Y.--(BUSINESS WIRE)--Feb. 16, 2016-- Prestige Brands Holdings, Inc. (NYSE:PBH) (the “Company”) announced today that its wholly-owned subsidiary, Prestige Brands, Inc. (“Prestige Brands”), has priced an offering of $350.0 million in aggregate principal amount of 6.375% senior notes due 2024 (the “notes”) in a private offering. The sale of the notes is expected to be completed on or about February 19, 2016, subject to customary closing conditions. The notes will be senior unsecured obligations of Prestige Brands and will be guaranteed by the Company and certain of its domestic subsidiaries.

    The Company intends to use the net proceeds from the offering to redeem all of Prestige Brands’ outstanding 8.125% Senior Notes due 2020, to repay the bridge credit facility entered into on February 4, 2016 in connection with the Company’s closing of the acquisition of DenTek Holdings, Inc., to pay related fees and expenses and for general corporate purposes.

    The notes and related guarantees are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) or, outside the United States, to persons other than “U.S. persons” in compliance with Regulation S under the Securities Act.
